Welcome to Ashavid (the “Website”), operated as a brand of Visaroads Inc., an Ontario, Canada based company (“Ashavid”, “we”, “us”, or “our”). By accessing or using this Website, booking a session, or participating in any of our programs or services, you agree to these Terms of Use (the “Terms”). If you do not agree, you must not use this Website.

1. Who we are & what we do

1.1 Business focus

Ashavid provides education, mentoring, advisory and digital transformation services, including for:

  • Startup founders and teams
  • Small and medium-sized businesses
  • Individuals exploring entrepreneurship or innovation in Canada

Our work includes, for example: strategy workshops, digital readiness audits, pre-accelerator programs, training sessions, and 1-on-1 mentoring.

1.2 Not a law firm or regulated professional

We are not lawyers, accountants, or regulated advisors. We do not prepare legal filings or represent you before any government authority or tribunal.

1.3 No legal, tax, or investment advice

Unless you have a separate written, signed agreement with a licensed professional: Nothing on this Website or in our programs is legal advice. Nothing is tax advice or accounting advice. Nothing is securities / investment advice or a recommendation to invest. You are responsible for obtaining your own independent legal, tax, and financial advice before making decisions.

2. Eligibility & acceptable use

2.1 Minimum age

You must be at least 18 years old (or the age of majority in your jurisdiction) to use this Website or book our services.

2.2 Your obligations

By using this Website, you agree that you will provide accurate and complete information when you contact us or apply to a program, use the Website only for lawful purposes, and not attempt to break, hack, scrape, or abuse the Website or our systems. We may suspend or block access if we reasonably believe you are misusing the Website or our services.

3. Information only – no guarantee of outcome

3.1 Educational and informational purpose

All content on this Website – including articles, videos, checklists, tools, and program descriptions – is provided “as is” for general information only. It may be incomplete, out of date, or not suitable for your specific situation.

3.2 No promises about results

Because business outcomes depend on many factors outside our control, we do not and cannot guarantee specific results, including:

  • That you will be accepted by any incubator, accelerator, partner, or investor.
  • That you will secure funding, investment, or grants.
  • That your business will hit specific revenue, growth, or profitability targets.

Any examples of past clients, case studies, or testimonials are illustrative only and do not promise or imply similar results for you.

4. Programs, sessions, and third-party relationships

4.1 Programs described on the Website

Program details, dates, mentors, locations, pricing, and capacity are subject to change without notice. Your participation is always subject to acceptance by us, space availability, and payment of required fees. Any additional rules, policies, or participant agreements provided for a specific program form part of these Terms for that program.

4.2 External partners & ecosystem hubs

We may collaborate with, visit, or invite mentors from incubators, accelerators, universities, or other organizations. Unless explicitly stated in writing, we are independent from those organizations. Their mention on the Website does not mean we are their official representative, agent, or that they guarantee admission for any participant. You must not market or present your relationship with us as if it were an official partnership with those third parties, unless we give you written permission.

5. Intellectual property

5.1 Our content

The Website design, text, graphics, logos, videos, course material, worksheets, and other content are the intellectual property of Ashavid / Visaroads Inc. All rights are reserved. You may view pages on the Website for personal, non-commercial use, and download or print limited content for your own reference, only if you keep our copyright and branding visible. You may not, without our prior written consent: copy, reproduce, or distribute our content for commercial purposes; resell, re-license, or publicly display our material in your own programs or marketing; or remove, hide, or alter any copyright, trademark, or attribution notice.

5.2 Your content & feedback

If you submit content to us (application forms, pitch decks, documents, or feedback), you remain the owner of your content. You grant us a non-exclusive, worldwide, royalty-free licence to use that content only as needed to deliver services to you, improve our programs, or comply with legal obligations. We will not sell your confidential business information to third parties. We may, with your consent, refer to your startup or business in anonymized case studies.

6. Privacy

Our use of your personal information is governed by our Privacy Policy.

7. Payment, refunds, and cancellations

7.1 Fees

Program fees, consulting rates, and other prices shown on the Website are in Canadian dollars (CAD) unless stated otherwise, subject to applicable taxes such as HST, and subject to change at any time before you confirm a booking or sign an agreement.

7.2 Invoices & payment terms

Specific payment terms (due dates, instalments, late fees) will be set out in your proposal, invoice, or service agreement. If there in a conflict, the signed agreement/invoice will control.

7.3 Refunds

Because our work is time-based and capacity-limited, refunds are generally not guaranteed unless expressly stated in writing in your program or service agreement. Where required by consumer protection laws that apply to you, we will comply with those laws.

8. Third-party tools & links

The Website may contain links to other websites or tools. We are not responsible for the content, security, or availability of those external sites; or any loss or damage that may result from your use of them. You use third-party sites and tools entirely at your own risk and subject to their own terms and privacy policies.

9. Disclaimers & limitation of liability

9.1 No warranties

To the maximum extent permitted by law, the Website and all content are provided “as is” and “as available”, without any express or implied warranties, including but not limited to: accuracy, completeness, or timeliness of information; fitness for a particular purpose; non-infringement; continuous, error-free, or secure access.

9.2 Limitation of liability

To the maximum extent allowed under applicable law, Ashavid / Visaroads Inc., its directors, officers, employees, and contractors are not liable for any indirect, consequential, special, incidental, or punitive damages. Our total aggregate liability for any claim relating to the Website or these Terms will not exceed the greater of (a) CAD $100, or (b) the amount you paid to us for the specific service directly giving rise to the claim. Nothing in these Terms limits liability where such limitation is prohibited by law.

10. No professional relationship created

Accessing or using this Website, downloading content, or attending a free call does not create: a lawyer–client relationship, a regulated advisor–client relationship, a fiduciary relationship, or any formal advisory relationship, unless and until both sides sign a written service agreement.

11. Changes to the Website and these Terms

We may: update or remove content, change or discontinue programs, and modify these Terms, at any time, in our sole discretion. When we change these Terms, we will update the “Last updated” date at the top. Your continued use of the Website after changes means you accept the revised Terms.

12. Governing law & dispute resolution

12.1 Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without giving effect to conflict of law rules.

12.2 Venue

Subject to any mandatory laws, any dispute arising out of or relating to these Terms or the Website will be brought in the courts of Toronto, Ontario, Canada, and you consent to their jurisdiction.

13. Severability

If any part of these Terms is found invalid or unenforceable, the remaining provisions will continue in full force and effect, and the invalid part will be interpreted in a way that most closely reflects the original intent and enforceable under applicable law.
